
In-house Lawyer / Legal Manager

For our client, an international developer engaged in the construction and management of commercial properties in Poland, we are looking for the In-house Lawyer/Legal Manager. The position is based at the company’s headquarters in central Warsaw.
The Lawyer will be responsible for comprehensive legal support for a development company delivering office projects, with a particular focus on corporate reorganizations, receivables management, payments, debt financing, and corporate matters of group companies. The role also includes drafting and negotiating documentation, supporting the management board, and minimizing legal risks during periods of organizational change.
This person will act as a business partner to the management board. During periods of change, they will be responsible for ensuring business continuity of project companies, reducing legal risks, and organizing the capital group structure and investment financing.
Key responsibilities include:
- corporate support for SPVs and holding companies
- support for reorganizations, mergers, demergers, transformations, and liquidations
- oversight of receivables, debts, and security interests
- handling payments, settlements, and contractual disputes
- support for the issuance, servicing, and refinancing of bonds or other debt instruments
Receivables and payments
In the area of receivables, the selected candidate will be responsible for creating and overseeing processes for recovering amounts due from tenants, contractors, subcontractors, and business partners. It is also important to carry out preventive measures: proper contractual safeguards, monitoring payment deadlines, analyzing insolvency risks, and coordinating collection and legal proceedings.
In practice, this includes:
- analyzing and enforcing contractual penalties, interest, and security arrangements
- preparing payment demands, settlement agreements, and restructuring arrangements
- cooperating with the finance department on intercompany settlements
- overseeing receivable assignments, set-offs, and offsets
- supporting disputes concerning construction works, remuneration, and additional services
Bonds and financing
In the area of bonds, the person in this position will support issuance, amendments to issuance terms, refinancing, and servicing obligations toward bondholders and issuance agents.
Typical tasks include:
- preparing or reviewing bond terms and offering documents
- analyzing bond security packages, covenants, and events of default
- coordinating communication with bondholders, trustee, or agent
- handling debt restructuring and documentation amendments
- cooperating with finance on payment schedules and compliance tests
Corporate law
In corporate law, you will provide full support to company bodies, shareholders, and the capital group. During organizational transformation, speed of action, formal accuracy, and the ability to work across multiple entities simultaneously are essential.
The scope of responsibilities includes:
- preparing resolutions of the management board, supervisory board, and shareholders’ meetings
- handling amendments to company articles, capital, shareholding structures, and governing bodies
- maintaining the register of powers of attorney and authorizations
- supporting M&A transactions, joint ventures, in-kind contributions, and group reorganizations
- overseeing corporate compliance and internal governance documentation
Requirements
The ideal candidate should have very strong experience in company law, contracts, and project financing, preferably in a development, real estate, construction, or financial environment. Experience in restructuring, B2B debt collection, and debt instrument servicing will also be an advantage. The selected person must be able to work with the management board, finance, controlling, asset management, development, and external advisers without causing unnecessary delays.
Requirements include:
- legal education and status as a legal counsel or attorney-at-law
- several years of in-house or law firm experience supporting business clients
- knowledge of commercial, civil, construction, and financial law
- experience in contract negotiation and dispute handling
- independence, resilience under time pressure, and project work skills
- business communication and precision
- ability to prioritize
- risk-based thinking and awareness of financial implications
- discretion and responsibility for confidential information
- readiness to work in a dynamic, transactional environment
